Terms of Service

1. Acceptance of terms

By creating a Prezio account or otherwise accessing our services, you agree to these Terms of Service. If you don't agree, don't create an account and don't use the services.

2. Description of services

Prezio provides a hosted multi-channel AI agent platform — operators configure agents that converse with their customers over email, WhatsApp, SMS, voice, and web chat. We bill per conversation, not per seat.

3. Your account

You are responsible for maintaining the confidentiality of your credentials, for all activity under your account, and for the lawfulness of the data you push through our APIs and the AI prompts you configure. You must be at least 18 years old and authorised to bind any organisation you sign up on behalf of.

4. Acceptable use

You may not use the service to (a) send spam or commercial messages without consent, (b) impersonate humans without disclosure (every Prezio reply already includes an AI disclosure block; removing it is a breach), (c) process personal data without a legal basis under GDPR, (d) generate or facilitate illegal content, harassment, or fraud, or (e) attempt to overwhelm, reverse-engineer, or compromise the platform.

5. Fees and payment

Fees are listed at prezio.app/#pricing and are subject to change with 30 days' notice. Invoices are issued monthly. Late payment beyond 14 days entitles us to suspend the service. Pass-through costs (Twilio per-message fees, OpenAI per-token fees, Vapi per-minute fees) are billed at cost plus 10%.

6. Termination

You may terminate at any time via your account settings (30-day grace period applies — see Privacy Policy section 6). We may terminate your access for material breach of these terms, with notice unless the breach is severe (illegal content, security violation, repeated non-payment). On termination, you retain the right to export your data for 30 days.

7. Disclaimers and limitation of liability

The service is provided 'as is' without warranty of any kind. AI outputs are probabilistic and may contain errors — you are responsible for verifying responses before relying on them for legal, medical, or financial decisions. To the maximum extent permitted by law, our total liability for any claim is capped at the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

8. Governing law

These terms are governed by the laws of the Federal Republic of Germany. Place of jurisdiction is Berlin, to the extent permitted by law. Mandatory consumer protection rules of your country of residence remain unaffected.
